Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Truthy Systems ("we", "us", "our") governing your access to and use of all software, applications, platforms, APIs, and related services (collectively, "Services") developed and operated by Truthy Systems.

By creating an account, installing an application, accessing a web platform, or otherwise using any Service, you confirm that you:

• Are at least 18 years of age, or have verifiable parental or guardian consent.
• Have read, understood, and agree to be bound by these Terms and our Privacy Policy.
• Have the authority to enter into a binding agreement on behalf of any organisation you represent.

Throughout these Terms, the following definitions apply:

Eligibility

You must provide accurate, complete, and current registration information. Creating an account using another person's information, or creating multiple accounts to circumvent restrictions, is prohibited.

Security responsibilities

• You are solely responsible for safeguarding your account credentials.
• You must notify us immediately at legal@truthysystems.com upon discovering any unauthorised access.
• We are not liable for losses resulting from unauthorised use of your account where you failed to notify us promptly.
• You must not share credentials or allow multiple individuals to access a single-user account.

Account integrity

We reserve the right to suspend or terminate accounts found to contain false information, or to be used in violation of these Terms, without prior notice.

You agree to use the Services only for lawful purposes and in accordance with these Terms. The following conduct is strictly prohibited:

Security and integrity violations

• Attempting to probe, scan, or test vulnerabilities of the Services or any connected system.
• Circumventing authentication, authorisation, or access-control mechanisms.
• Introducing malicious code, viruses, or disruptive software.
• Conducting denial-of-service attacks or any load-generating attack.

Content violations

• Uploading, storing, or transmitting illegal, harmful, defamatory, or infringing content.
• Impersonating any person or entity, or misrepresenting your affiliation with any person or entity.
• Collecting user data or harvesting information without consent.

Platform abuse

• Reverse-engineering, decompiling, or disassembling any part of the Services.
• Reselling, sublicensing, or otherwise commercialising access to the Services without written permission.
• Automating access in a manner that exceeds reasonable usage or circumvents rate limits.

Our property

All software, designs, source code, documentation, trademarks, and brand assets comprising the Services are the exclusive property of Truthy Systems or its licensors and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our Intellectual Property beyond the limited licence to use the Services.

Your content

You retain ownership of all Content you submit to the Services. By uploading Content, you grant Truthy Systems a worldwide, royalty-free, non-exclusive licence to store, process, and display that Content solely to the extent necessary to provide the Services to you.

Feedback

Any feedback, suggestions, or ideas you provide regarding the Services may be used byTruthy Systems without restriction and without compensation to you.

Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are stated in USD unless otherwise indicated and are exclusive of applicable taxes, which will be itemised on your invoice.

Free trials

Where a free trial is offered, your payment method will be charged at the end of the trial period unless you cancel before that date. Trial access may be revoked at our discretion if we believe it is being misused.

Refunds

Annual subscriptions cancelled within 14 days of purchase are eligible for a full refund. Monthly subscriptions and renewals are non-refundable. Refund requests must be submitted to billing@truthysystems.com.

Price changes

We may change subscription prices with at least 30 days' written notice. Continued use of the Service after the effective date constitutes acceptance of the new price.

We strive for high availability but do not guarantee uninterrupted access to the Services. Scheduled and emergency maintenance may cause temporary unavailability.

• We target 99.5% monthly uptime for production services, excluding scheduled maintenance.
• Scheduled maintenance will be announced with at least 24 hours' notice where feasible.
• We reserve the right to modify, suspend, or discontinue any feature or Service with 30 days' notice.
• We are not liable for losses caused by Service downtime beyond credits as described in any applicable SLA.

To the maximum extent permitted by applicable law, Truthy Systems and its officers, directors, employees, and agents shall not be liable for:

• Indirect, incidental, consequential, special, or exemplary damages.
• Loss of profits, revenue, data, goodwill, or business opportunities.
• Damages resulting from your reliance on any content or output generated by the Services.
• Unauthorised access to or alteration of your data by third parties.

Our total aggregate liability to you for any claim arising from or related to these Terms or the Services shall not exceed the greater of (a) the total fees paid by you to Truthy Systems in the 12 months preceding the claim, or (b) USD 100.

You agree to indemnify, defend, and hold harmless Truthy Systems, its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Services in violation of these Terms.
• Your Content, including any infringement of third-party intellectual property rights.
• Your violation of any applicable law or regulation.
• Any misrepresentation made by you.

Termination by you

You may terminate your account at any time by deleting it from within the application settings or by contacting legal@truthysystems.com. Upon termination, your right to use the Services ceases immediately.

Termination by us

We may suspend or permanently terminate your access, with or without prior notice, if:

• You breach any provision of these Terms.
• We are required to do so by law or a regulatory authority.
• Your account poses a security or reputational risk to the Services.
• You fail to pay any outstanding fees after a grace period of 14 days.

Effect of termination

Upon termination we will delete your personal data in accordance with our Privacy Policy. Data subject to legal retention obligations will be retained for the legally required period, then deleted.

These Terms are governed by and construed in accordance with the laws of the Republic of Uganda, without regard to conflict-of-law principles.

Dispute resolution

In the event of a dispute, both parties agree to first attempt resolution through good faith negotiation for a period of 30 days. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of Uganda.

Class action waiver

To the extent permitted by law, you waive the right to bring or participate in a class or collective action against Truthy Systems.

Entire agreement

These Terms, together with our Privacy Policy and any applicable Service-specific agreements, constitute the entire agreement between you and Truthy Systems with respect to the Services.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

No waiver

Failure by Truthy Systems to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
